The terms that govern your use of Replionix.

These Terms of Service (“Terms”) govern your access to and use of the Replionix platform, including our website, software applications, dashboards, analytics tools, and related services (collectively, the “Service”), operated by Replionix Solutions (“Replionix”, “we”, “us”, or “our”).
By accessing or using Replionix, you agree to these Terms. If you are using Replionix on behalf of a hospital, healthcare organization, or other entity (“Organization”), you represent that you have the authority to bind that Organization to these Terms.
If you do not agree with these Terms, you may not access or use the Service.
Replionix provides healthcare inventory decision intelligence designed to help hospitals and healthcare organizations analyze inventory operations, identify optimization opportunities, reduce waste, and improve supply chain decision-making.
The Service includes four specialized intelligence engines (Inventory Control, Expiry Control, Stockout Control, and PR Prioritization), an executive dashboard, deterministic dataset summaries, an interactive ROI calculator, and a CSV-based data ingestion workflow.
Replionix does not provide medical advice, clinical decision-making, patient care recommendations, or healthcare services of any kind.

You are responsible for ensuring that individuals accessing your account are authorized to do so. You must notify us immediately of any unauthorized access.
For purposes of these Terms, “Customer Data” means information submitted by customers into Replionix, currently through CSV exports from ERP or HIS systems. Future connector deployments may be covered by a separate agreement.

Customers must not upload patient data or sensitive personal healthcare information unless separately agreed in writing.
Customers retain all ownership rights to their Customer Data.
By using Replionix, customers grant Replionix a limited, non-exclusive right to process Customer Data solely for:
Replionix does not sell Customer Data.
Replionix offers a public interactive demo that allows prospective users to upload CSV files for instant analysis. Data submitted through the public demo is processed in memory only and is not stored on our servers after the session ends.
For registered customers, data uploaded via the platform’s CSV ingestion workflow is stored and processed in accordance with applicable service agreements and this document.
Replionix currently uses deterministic arithmetic and business rules to generate expiry exposure, lead-time-cover risk, reorder recommendations, purchase priority, and financial opportunity models from a selected dataset version.

Replionix implements reasonable technical and organizational safeguards designed to protect Customer Data, including TLS encryption in transit, encryption at rest, access controls, and rate limiting. Details are available on our Security page.
However, no digital platform can guarantee absolute security. Customers are responsible for maintaining secure access practices, including password management and authorized user controls.
Replionix may modify, improve, update, or temporarily suspend parts of the Service for maintenance, security updates, infrastructure improvements, or feature changes.
We aim to maintain reliable availability but do not guarantee uninterrupted operation unless covered by a separate service level agreement.
If applicable, pricing, subscription terms, and payment obligations will be provided through separate agreements, order forms, or subscription plans.
Failure to pay applicable fees may result in suspension or termination of access to the Service.

All Replionix software, technology, designs, trademarks, logos, documentation, calculation models, and platform features remain the exclusive property of Replionix Solutions and are protected by applicable intellectual-property laws.
Customers receive a limited, non-exclusive, non-transferable, revocable right to use the Service during their subscription period. This right does not transfer ownership of any intellectual property.
Both parties agree to protect confidential information received from the other party and to use it only for purposes related to the Service.

Replionix provides decision-support recommendations based on the data available to it. These recommendations are advisory. You remain responsible for procurement, operational, and clinical decisions. The Service is provided “as is” and “as available” without warranties of any kind, express or implied, to the fullest extent permitted by law.
Sample data, illustrative hospital scenarios, and mock facility names displayed on the Replionix website are for demonstration purposes only and do not represent real customers, facilities, or outcomes.
To the maximum extent permitted by law, Replionix Solutions shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to lost profits, business interruption, data loss, or decisions made based on automated recommendations.

Upon termination, access to the Service may be disabled. Customer Data handling will continue according to applicable agreements and our Privacy Policy.
These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Jeddah, Saudi Arabia.
For customers operating in jurisdictions with specific regulatory requirements, additional legal agreements may apply.
We may update these Terms from time to time. Updated versions will be published on this page with a revised effective date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
For material changes, we will make reasonable efforts to notify active customers in advance.
